1. Introduction
Welcome to ThaliPay ("we", "our", or "us"). By accessing or using our platform, you agree to be bound by these Terms and Conditions. Please read them carefully before using our software as a service (SaaS) POS and restaurant management platform.
2. Platform Architecture & Paths
ThaliPay operates as a multi-tenant Software as a Service (SaaS) platform. When a restaurant onboards with us, they are provided with a unique, dedicated web URL path (e.g., thalipay.info/[restaurant-slug]/). This dedicated path serves as their direct-to-consumer digital storefront and ordering system.
3. Payment Routing & Processing
Our platform is designed to offer flexible payment routing options depending on the restaurant's operational setup:
- Direct Merchant Accounts: For onboarded restaurants that have their own valid Razorpay merchant accounts, ThaliPay acts purely as a technology provider. The restaurant's specific Razorpay API keys are securely integrated into their subdomain. In this scenario, all online customer payments are processed and routed directly into the restaurant's own Razorpay account. ThaliPay does not hold or settle these funds.
- Platform Aggregation: In specific cases where a restaurant does not hold an independent payment gateway account, ThaliPay may temporarily process online payments on their behalf using our central Razorpay account, followed by periodic payouts to the restaurant according to our settlement terms.
- Offline Payments: Restaurants may also choose to disable online payments entirely, allowing customers to place orders digitally but pay physically via cash or local UPI at the restaurant counter.
4. Services Provided
ThaliPay provides a cloud-based restaurant operating system, including but not limited to point-of-sale software, digital QR menus, inventory management, and analytics. We grant you a non-exclusive, non-transferable license to use our platform subject to subscription payments.
5. User Obligations
You are responsible for maintaining the confidentiality of your account credentials. You agree to use the platform in compliance with all applicable local, state, and national laws. You must not use the platform for any illegal or unauthorized purpose.
6. Payment and Billing
ThaliPay offers Monthly and Annual subscription plans as follows:
- Monthly Plan: ₹2,000 / month, subject to a ₹1,000 one-time setup and onboarding fee.
- Annual Plan: ₹15,000 / year (onboarding fee is ₹0). Razorpay payment gateway integration setup is exclusively included in the Annual Plan.
- Multi-Outlet Expansion: For restaurants with multiple branches, additional outlets can be connected at a rate of ₹1,500 / month per additional outlet (under the Monthly Plan) or ₹12,000 / year per additional outlet (under the Annual Plan).
- All fees are billed in advance. Payments and onboarding charges are strictly non-refundable, except for the conditional 30-day refund policy outlined in our Returns & Refunds Policy.
7. Limitation of Liability
ThaliPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the platform.
8. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of the platform following the posting of updated Terms constitutes acceptance of those changes.
